What happens if one declines the severance....

is there a process, what about cobra etc? It seems that everything is geared towards folks taking the package.

Why would you decline severance? If you think they don't have iron clad legal CYA on layoffs, you're mistaken. They surely have had legal cover their bases. And many places are at-will so they can get rid of you for any or no reason at all.

If you decline the severance then you are just fired. No pay. You can still enroll in COBRA. As others have said, don't do this without consulting a lawyer.

Negotiate the severance. They will give you more money.

Usually you do that if you plan on suing. You get nothing except you can pay for cobra.
