The Total Performance Incentive for level 1 - 4 management employees is the bonus part of TheManagement Compensation Plan. It contains two components; the Company PerformanceIncentive (CPI) and the Individual Performance Incentive (IPI). A prorated Company PerformanceIncentive (based on target percentage at time of separation, eligibility rules and the time spent asan active employee during the performance year), will be adjusted by your Business Unit'sfinancial results and other factors determined by the Company, in its sole discretion, to beappropriate under the circumstances. Payment, if any, is generally made around March 6,following the performance year and mailed to your home address. The actual percentage awardedmay be higher or lower than the Company Performance Incentive, or may be zero, at theCompany's sole discretion. A number of different factors determine whether an employee iseligible for a Company Performance Incentive. The Individual Performance incentive is adiscretionary component of the Total Performance Incentive. It is awarded to employees at the solediscretion of management. Factors set forth in the "CRITERIA AFFECTING ELIGIBILITY FOR MERITINCREASE, TOTAL PERFORMANCE INCENTIVE, AND NPS INCENTIVE" section of the ManagementCompensation Plan outline eligibility for both the CPI and IPI components of the Total PerformanceIncentive.
