Everyone should know they are gearing up for more layoffs. The writing is on the wall. I do not know anything specific. Divesting HIS will be the excuse but they’ve hired too many expensive people. The company is top heavy and growth will settle up in Q3. They can’t hide behind ERP and Trian has called the bluff on the history of under promising and over delivering.

@dw "Shareholder value" certainly came up a lot. It's a bad look to have a CEO talking directly to employees who are at risk of losing their jobs and mention how important unlocking shareholder value is. Pretty much zero mention of doing what is best for the 2,000+ employees in HIS, just looking at whatever will increase the stock price. Garri's inspiring speech in the earlier call was just as bad. It felt like she was thanking us for our contributions right before laying us all off.

@d8 "Focus" didn't come up as much as expected. And not even a thank you to HIS or acknowledgement as predicted.

We did get some "HIS just can't flourish from within" which I didn't understand. Given HIS is the most profitable, what exactly is the problem with just keeping it?

  • HIS has a different innovation cadence and level of investment: but given investing $1M somewhere, what's the problem investing it in your highest margin business?
  • outside, sales would be the same, but profit higher: but either we will profit from that increased profit, or it would go to someone else so why not keep it?

I think there was some conflating of answers assuming spin-off (it'll be great, we'll own a share or still count their revenue as our own) vs. assuming selling (harvest cash to pay down debt)? I dunno.

We also got the predicted tiptoeing: "now we're a pure play MedTech cause medical and dental commonly go together" and then "but we'll continue evaluating options." (And why do we have to do what everyone else does, as if digital just can't work because other people don't do it).

P.S. Nice of them to screen all questions and ask what sounded like plants.

@a1 Some bingo card proposals:

  • this was a really difficult decision I don't take lightly
  • as a leadership team, we spent a lot of time coming to this decision
  • it wasn't easy, but in the end I truly believe this will be the best path for the company
  • sets us up for further debt paydown
  • sets us up to do what we said and enable acquisitions
  • reiterate the "support" they'll provide HIS through this
  • we'll continue to navigate options (spin off vs. sell, timeline), we want to make sure we get this right
  • a thank you to everyone in HIS and everything they've done to build a successful business
  • the paradox of how great the business is vs. that awesome business being best off not owned by us
  • this will enable us to innovate around our core portfolios in a more focused way (and in general the word "focus" getting a lot of use)
  • tiptoe around Dental, rest assured, we take these decisions seriously and will continue doing what's right for the company
  • change can be scary, but just hang in there and we'll get through this together, this is all part of our transformation journey
  • urge you not to listen to continued rumors, just keep your focus on the customer and our mission to improve lives

@cx 3M tried to sell it about 15 years ago. Not sure if they wanted a big price or what. They couldn't make the math work. The AI landscape has changed the outlook on that business I am sure.

Well let's hope it goes better then the last time HIS was offered up for sale. The fact HIS was going to be sold was pretty obvious from the get go. The odds are another player will buy it, pick off the choicest parts and toss the rest.

Cannot wait to hear a cheerful Bryan tomorrow for our HIS town hall as we all worry about our jobs. I wonder how this will all go down. A bit different than the mostly quiet divestiture of P&F. Would love to hear any inside scoop if anyone has any. Would it be possible for HIS to survive as an independent company or is Bryan looking for the lump sum cash now?
