What questions do you wish they were actually asking the EC?

@1ac Brown Duckett is severly overpaid. She does nothing. Just a figurehead. They need to get someone in there who can drive results instead od spending all their timing investing their money to buy the NY Liberty or to spend all your time get paid to be on 8 corporate board. It is total BS and she needs to be called out on it. F^ck her
All the raise money is going to three things: 1. Health Insurance Premium increases 2. Frisco 3. "T"s $18-$30M a year ponzi scheme salary
Add a metric for employee bankruptcies due to a half decade of no raises.

@qn the board & committees spends a lot of time deciding how much they want to pay each of the EC members and how to rearrange the comp packages for board members. At the end of those meetings when they end, there are always lots of smiles, giggles, at often drink toasts at the local Mahattan bars.
@qa Many of the Board and various committee policies and practices haven't been updated in years. Might be time to dust them off and revise. It just goes to show how much the board does for work (not much). Policies and practices should always be revised/tweeked every 12-18 months. Who is asleep at the switch ?
@pr It's actually in the HR Committee Document dated 9/17/20 which states that Annually there will be a report in the TIAA Report regarding the Executives compensation pay packages. Is there a reason why this information is not being publicly posted or is it being hidden for some reason ?

Not something that most employees want to hear but if the board felt they had a fiduciary responsibility to our participants, they'd sell this tu-d to a competently run company.
@OP The Board needs to come clean about the missteps moving to Frisco. How much were the cost overruns ? Why are they having a hard time filling positions ? Why farm out business to India when Putin was seen recently holding hands with the Indian President.
Instead of spending $100M-$200M moving, hire people virtually across the United States of America. The best and the brightest. You have the whole entire country to recruit from. Why limit it to just Frisco and India ?
Plus, what is the answer to all the lawsuits ? With Brown Duckett, when she was at Chase, they were sued left and right. Now with TIAA, it is same. She knows next to nothing about Recordkeeping, 403b regulations, IT, or our clients. She talks a good talk but does little work to justify $18M per and don’t get me started about the layoffs and being chased out of Denver like a dog between our legs by Empower.

@OP I want to know how much health care premiums are going up this fall for employees and if the Board will be trimming the comp page for the CEO
I’d like to know how many employer clients have submitted contract termination requests over the past 2 years ? How many employers who have plans over $2M in assets transferred their plans to TIAA ?
What have the total net asset outflows have been over the past two years
Over the past two years, how much as the compensation increased for all EC members including any increases for members of the Board?
Why do all the EC dislike eachother so much?
Why are all the wealth advisors leaving?
How much sm--k does the wealth leader talk behind the CEOs back and why?
@OP The only question the Board is actually going to ask is "Did you cut expenses by the amount we dictated? If not, why not?"
Do we have to fire you or will you take the honorable route and resign?
@OP In the Board by-Laws it says that Executive Compensation will be publicly posted but they haven't posted it so they are in violation of their own bylaws. They are lucky the SEC doesn't find out. The Board needs to publish their own comp package and structure and all Exec Comp pay packages and post them on the public website. They must not do this because they know there is waste, fraud, and excessive pay involved and it must be embassassing.
I’d ask why we're closing an office of hundreds of people with hundreds of years of experience for newbies who can’t string together a coherent sentence without ChatGPT let alone learn our archaic system and obsolete technologies.
All that for a location that has been booming recently but is sure to fall for the next big booming city.
This company always enter the game late either before it’s about to end or before replaced with something better. Frisco booming now but we’re entering towards the end of its prime when companies will move out for the next big thing soon.

@OP here are my questions:
- What is the base pay and incentive comp package potential for 2025 for each executive ?
- What are the factors and weightings for the incentive comp ?
- Will the publish the Employment Contracts on the TIAA website for the world and greater good to see
- Disclose how many Corporate or Non Profit Boards Thasunda Brown Duckett currently sits on ? How much is her pay from these Boards ? How much time away from TIAA does she spend per month on these boards? (As a side note, she only attended 4 TIAA Board Meetings last year and did not attend any EC meetings as part of the Board)
- Does TBD do any work or is she just a figure head ?
- When will the rest of the Board resign and how much is each Board member paid ? Will they publish this on the public website ?
