The month of June and merger issues?

So I just found out, that our district is going to be hit, somewhat hard, with merger-related cutbacks officially starting on June 1st. This was announced on a conference call with the DL recently. We happen to be a good district with some high volume locations, both in sales and customer traffic, so these cuts are quite surprising to say the least! I can’t say exactly what these cuts are, out of respect for the employees involved, except to say it raised eyebrows, trust me. I never thought the merger cuts would hit good stores! 2 questions... Does anyone know if June 1st is some specific date for implementing additional merger cutbacks company-wide? Or just coincidence, as in just the random date they chose to implement these particular cuts for our district?

Secondly, given the Judge’s stringing along of this merger case, what happens IF he rejects the merger and orders Cvs & Aetna to separate? People are being downsized and cutback, and even laid off in some cases, do they get their old job back? How do you “undo cutbacks” after they’ve been done if the merger gets rejected? And what happens to those individuals?

To put an end to the question “will the judge block the merger” here is what the law says:

“Federal law requires a judge to sign off on antitrust approvals, but it is often a formality. Deals typically close before this sign-off, given prior approval from the Department of Justice. While Mr. Leon can't block CVS' takeover of Aetna, he can question whether the Justice Department's review should have been broader, according to the report.”

End of discussion.

Think about it, would the SEC allow Aetna shares to be canceled if there was even a minute chance of the merger being blocked bu a judge once it’s cleared by the DOJ? How would you undo that?

How about the people who bought the billions in bonds? Would they have bought if they was the slightest chance merger would be blocked? Once again what do you do with the bonds?

The SEC knows the law, once DOJ approves the judge is bond by federal law to approve the deal. He can change the conditions but cannot block. Know what the law says before you make a comment.

Nope, make sure you have your facts straight.

If the judge doesn’t like the merger why doesn’t he just k--l it right now instead of all these hearings and the charade? The reason is because the judge does not have the power or the authority to k--l the deal once the DOJ signs off on it. He can only call for more hearings, more testimonies, but thats it.

This judge and the DOJ have a history of butting heads with the AT&T and the Time Warner deal. You can look it up, the judge has an axe to grind and he is letting the DOJ know it. If he really thought the deal should not be approved and he had the authority to do it, he would have already k--led the deal.

I suggest if there is any doubt to do a google search on “cvs, aetna, DOJ, and what a judge can and cannot do”.

There have been several articles written about this case, the is very clear. Once the DOJ approves the judge MUST approve, but the judge can alter the conditions of the deal.

This is an unprecedented case. He can force the separation. CVS and DOJ jumped the gun. This is the entire reason why it is not finalized and CVS is NOT fully running the show. #freeaetna

The judge cannot undo the merger, the law is clear. If the DOJ approves the merger the judge must approve, what is happening here is the judge is reviewing the conditions under which it was approved.

He may order additional divestures, place permanent firewall between the two business, etc...

One thing he cannot do is undo the merger, it is a done deal. You can look up the law on mergers relating to DOJ and the judge if you don't believe this is the case.

First off it is true about cuts. 5 stores in our district are being affected by these cuts which take effect on june 1st, and our DL said that these cuts are directly related to cost cutting measures due to aetna merger. I am only a shift, not a SM, so am hesitant to go any further. And I don’t know the full extent of these cuts, I wasn’t on that call. But my store is one of the stores affected by this, and it’s not good! I asked to see if anyone knew if this was part of any bigger cuts across the company. I am NOT trying to stir anything up. Sorry if you took it that way. In my store, I am careful not to open up a can of worms, so that’s why I ask on this site.

Secondly, Judge Leon himself was quoted early on in this process “you’d better be prepared to unwind this thing should an unwinding be necessary”. And he has hinted that yes he has authority to stop this. Judge Leon has publicly said that this isn’t finalized until he gives his approval. Besides... if you’re cvs, do you really want to challenge a federal judge on his level of authority?

Leon does have the authority to force the separation of both companies should he see fit. CVS jumped the gun which is not surprising given how poorly they are run.

First of all you are lying.

I am not sure why, but you are..

I know it isn’t true, but if it were, why would a DL give specifics about individuals that you are trying to protect on a conference call ? He wouldn’t. They would meet with individuals by a specific date.

Second, there are no “ merger related cuts” that would impact stores.. All decisions for workforce reduction were made in the 4th quarter last year for stores and it was due to pharmacy margin pressure.

If your DL was in the know about “merger related cuts” why would you need to ask on this forum. Somehow “ merger related cuts” would impact your district only?

I have no idea why someone would get on here and make up yet another lie and scare people for no good reason, except that you are a sociopath.

I honestly believe that the owners of this website are stirring you all up to get more hits.

And finally, the judge has the authority to have hearings, but does not have the authority to reverse the merger, that has already happened.
