MH evades fraud charges and criminal charges... some guys have all the luck

It seems that the 2010 HP thing keeps haunting MH. Another law suit popped up in July 2016 that took years to resolve. Our intrepid Hero MH successfully dodges more bullets than Neo in the Matrix. He was able to wiggle out of the fraud charges just last year.

The interesting thing is that MH was the one who instituted an ethics policy at HP as the result of a scandal that occurred in 2006. He appointed a “Chief Ethics and Compliance Officer” to report SBC violations; appointing an “Ethics and Compliance Committee.” You may recognize this as being very similar to the policies he implemented here at Oracle as part of your mandatory "training."

The thing is he violated the very policies he set up and as a consequence of this and firing 25,000 people, well HP lost $100 billion dollars. Its also interesting to note the whistle blower policy, and a repeat of a whistle blower at Oracle about "cloud washing" in 2016. Oracle did not protect the whistle blower (as stated in policy training), instead Oracle sued the whistle blower.

I do not digress, the point is germane. MH sets up training and policy that he himself disobeys. This cost the stock holders at HP 100 billion dollars. I do believe the same thing is happening at Oracle. Here is the results of the Fraud case brought against him that was settled last year.

Here, the issue is relatively narrow—whether shareholders may bring a claim for securities fraud when a CEO and Chairman violates the corporate code of ethics after publicly touting the business’s high standards for ethics and compliance.

HP made some promises regarding business ethics as part of the settlement, including: appointing a “Lead Independent Director,” tasked with implementing and enforcing the SBC; appointing a “Chief Ethics and Compliance Officer” to report SBC violations; appointing an “Ethics and Compliance Committee” to oversee HP’s policies and procedures regarding compliance and ethics; improving ethics and compliance training programs; and strengthening the SBC, particularly in regard to whistleblowing.

Ms F, was hired help MH meet with CIOs and keep the meetings moving as a hostess. Part of the problem was that HP was not aware of all of the expenses, the other part of the problem for some of these women is that some men confuse hostesses with prostitutes. These corporate positions generally are not like the hostesses at Baylor, or Louisville, or Rutgers, who were allegedly used to s-xually entice prospects to play sports for the university. But Hurd, while married, began pursuing a relationship with MS F. Ms F, unlike Monica, was not interested in Hurd. But Hurd was undaunted.

The next time they met, Hurd invited Ms F up to his room, fondled her breasts, and asked her to stay the night. Hurd tried to save face by saying he was never rejected and getting at least a hug to chase his breast fondling. Undaunted, he continued to pursue her, telling Ms F she was lucky to be pursued by Hurd because other women like Sheryl Crow were crazy about him. And he had women in New York and San Francisco. Seems like a swell catch.

Mas F probably sniffed out his desperation pretty quickly. If Hurd were the Silicon Valley version of Leonardo DiCaprio, then he’d probably not be married and be with Sheryl Crow. But HP was paying the bills and presumably she wasn’t getting many other phone calls for jobs. So, she kept working for HP. And Hurd kept trying to get in her pants.

MH, settled with Ms F, left HP with a $12 million dollar parachute, and was quickly hired by Oracle. Not bad for nearly raping a woman and assaulting her multiple times on the company’s time and dime. Although Oracle supposedly concluded, before hiring him, none of MH's conduct rose beyond a misdemeanor, which still suggests he possibly committed a crime.

The story of HP’s investigation and the backstory to MH is fascinating to read but most of it is not particularly germane here. But the investigation did turn up irregularities in MH's expense reports.

This led stockholders to sue HP for securities fraud. The SEC investigated MH, but it seems nothing came of it. MH took over HP during a particularly difficult time in its history, including a shareholder suit that HP later settled. Part of his pitch was that HP would be among the most ethical companies. Persistent s-xual harassment and fraud are not part of being an ethical officer. The real gripe was HP lost half of its $100 billion dollar value since the scandal erupted. Pensions have to pay the money out eventually, so they sought whatever they could get back.

Unfortunately for the pensions, their civil fraud case never got far.

Perhaps MH got this "training" on ethics from Baylor University. Say one thing, do another. The policy applies double when dealing with women.

The lawsuit alleges the football program operated under a “show’em a good time” policy that “used s-x to sell” Baylor to high school recruits.

The woman was a member of a campus group called the Baylor Bruins that would host prospective athletes during visits. The lawsuit alleges Baylor encouraged making Baylor Bruins available for s-x with recruits, as well as taking recruits to strip clubs, implied promises of s-x and using alcohol and drugs in the recruiting process.

If true, this not only grotesquely violates NCAA rules, a minor point under the circumstances, but would be a shocking conspiracy of players, coaches, Baylor students, that seems almost impossible to have kept concealed. Baylor, of course, denies that this happened.

"Grotesque violations" is an apt term for MH, his policies and his behavior at Oracle. Perhaps some light will be shed on the investigations into net-suite, and in short order revenue reporting around cloud at Oracle. Not to mention the whole sale gutting of talent in sales, support and product development that is now in progress at Oracle.

MH might not be able to dodge this bullet.
