3 Simple Reasons for the downfall of NDS/Cisco SPVSS!

There were three reasons for the downfall of NDS/Cisco SPVSS.

  1. Pay-TV landscape change: the income generated by classical broadcast industry started to change with the rising of internet streaming. NDS was not prepared for that enough nor it could adapt culturally to the lower profit margin created by OTT and DRM.

  2. NDS becoming a private company: anyone who saw from inside saw that many bad decision were made in NDS during the time it returned to be a private company. Since there were no serious oversight and no investor vision some of the top managers could afford growing such fat in the company which couldn't be handled later.

  3. Cisco acquisition: Cisco killed the well oiled sales organization which NDS had during on-boarding, no wonder sales were down. This together with 1. and 2. plus that video was far from Cisco-s main business caused complete irrelevancy within the enterprise despite the obvious talent.

Had not one of these three happened NDS/Cisco SPVSS would still be around for a long time.

I'm not mad at Cisco, though I pity them for not being able to be a true tech company.

I don't know who wrote these but as an insider I can verify that @NfBaWt9 and @NfBaWt9-9arr are completely on the money. Cisco acquisitions would do well to consult these people if they ever do a serious and honest post mortem on their $5 billion video fiasco.

Well the focus was really on America after the assimilation - where NDS' business was everywhere else (apart from DirecTV which was a recurring revenue stream and basically ignored).

More focus on Asia and Europe my have stopped the drop in revenues, but having a US centric management in a global business really didnt allow this.

NDS was a bad cultural fit for sure. After the disaster with SA, Cisco decided to completely assimilate NDS. They hugged it so tight it couldn't breath.

Before acquisition, it wasn't perfect, but it had a model that worked and it was profitable. It needed to change and had just appointed a new CEO. It was planning to float and would have been the second largest software shop in the UK. Most importantly it had a positive culture and was a great place to work.

YK and CC never understood the unit at all. Honestly they didn't really even try to understand it. They couldn't see beyond the US cable market and became obsessed with X1 syndication. YK just tossed aside all the exNDS execs and put in her own people. This deepened the split between the management and the people who got the work done. Without trying to be unkind, YK and CC are shallow thinkers and poor leaders. They play to internal audiences and internal agendas and hence can't "hear the music" in their teams or in the market.

Many customers came to me at post acquisition IBCs complaining of their needs being ignored and that we were patronising them. There was no mechanism to voice these concerns internally without being punished or sanctioned.

As to due diligence, there wasn't any. People were told to rubber stamp a decision that MdB and JC had already made. Video was a Cisco priority and NDS did video and that's as far as it went. The fact that it did mostly non IP video and was paid for by CA was not realised till months after the purchase.

NDS was majorly profitable and growing before the Cisco acquisition. Maybe get your facts checked before spouting - look at the NDS S1 which was published beforehand. It is a legal document and NO facts were incorrect. The bottom line is that ciscofying NDS didn't work - in my opinion, it would have been good to Mobutu (as a cash Generator) but left separate to run itself efficiently.
