From PacketFabric, Inc. v David Ward Lawsuit (Case 2:24-cv-00618-GMN-EJY):

Statement made to the Court by David Ward's legal counsel:

"4. The June 14, 2023 Separation and Release of Claims Agreement (2023 Agreement") provides for, among other things, twelve months of payment of base salary and additional cash consideration of $420.625.00. These are further grounds which establish theamount in controversy herein exceeds $75,000."

Statements made to the Court by PacketFabric as attested to by Cornelius Sheridan (Dave Ward's Partner at DigitalAlpha and fellow Board Member at PacketFabric):

"14. After Ward's departure as CEO of PacketFabric, PacketFabric discovered that Ward,while still employed by PacketFabric, had attempted to enter into multiple additional unauthorizedagreements. 

  1. These unauthorized agreements include (i) a June 14, 2023, "Separation and Releaseof Claims Agreement" purporting to provide Ward with "separation consideration," (ii) a purportedfirst amendment to the Separation and Release of Claims Agreement, and (iii) a purported secondamendment to the Separation and Release of Claims Agreement (collectively, the "UnauthorizedAgreements").  
  1. The Unauthorized Agreements were never agreed to, approved by, or ratified by,PacketFabric's Board of Directors. As such, the Unauthorized Agreements are invalid andunenforceable. 
  1. In fact, PacketFabric's Board of Directors was never even informed of the existenceof the Unauthorized Agreements while Ward was employed by PacketFabric. 
  1. The Unauthorized Agreements purport to supersede the 2020 Agreement, includingthe 2020 Agreement's severance provisions. Specifically, the Unauthorized Agreement purport toprovide to Ward severance or separation amounts in excess of the amounts contemplated by the 2020Agreement, as well as in excess of any reasonable amount of remuneration given Ward's performanceas CEO and the financial health of the Company while Ward was CEO. 
  1. Ward now seeks financial payments from PacketFabric pursuant to the UnauthorizedAgreements. 
  1. Because the Unauthorized Agreements are invalid and unenforceable, Ward has noright to any payments under the Unauthorized Agreements. Instead, Ward's rights vis-à-vis hisemployment with PacketFabric are governed solely by the 2020 Agreement.
  1. Ward asserts that he is entitled to financial payments pursuant to the terms of the Unauthorized Agreements. PacketFabric, conversely, asserts that the Unauthorized Agreements areinvalid and unenforceable because they were never approved by, agreed to, or ratified byPacketFabric's Board of Directors. Rather, PacketFabric asserts, the only agreement that governs the employment relationship, including any severance or separation payments between PacketFabric and Ward, is the 2020 Agreement."

oops he did it again, PacketFabric is bankrupt, fired and furloughed all the employees. yes, Dave Ward's bravado ki-led another great product, he brought another business down, he spent all the investors money and there's nothing show for it. Dave Ward, of PacketFabric is an awful person.

That Forestry major was once the CTO of Cisco, think about that for 2 minutes. Hmmmm, maybe that's why Cisco has been going down - missed the cloud train, missed the video conference bandwagon, missed the security rocket ship.
Lesson learned I guess. Forestry majors belong in the forest, not at a tech company.
But we still have a math major as our CEO. Cisco is totally screeeeeeweed, big time!!

The People at PacketFabric want Chuck to buy their company - that is why they want Chuck to get Dave back.

Not sure what gap can PacketFabric fill in the offering except for automation where CSCO has always failed given the scope of the solution and difficulties of having a product line to address it.

I would say "pet rock" rather than "rock star." After engineering millenia were wasted he had a system which took hours to boot while processes repeatedly crashed along the way due to a wide range of systemic errors. The good news is they have a deep bench of bodies with no systems and architecture experience to replace him (if you couldn't get another job after vesting this could be you!)

No surprise. He lost a couple of senior people in the last LR, including a couple of fellows. He's been on the warpath ever since. I saw him at one engineering all hands sitting in the audience second row asking sniping questions on his laptop to the SP VP answering them one row in front, and to the engineering eVP on stage. He's probably made a lot more enemies over the last months. And he already had a a lot.
