NEWS: The FCC approved Paramount’s request to allow foreign ownership to exceed the 25% statutory benchmark, clearing a regulatory hurdle tied to its proposed acquisition of Warner Bros. Discovery (WBD).

In its declaratory ruling, the FCC found that allowing up to 100% aggregate indirect foreign equity ownership of Paramount would serve the public interest, subject to the Commission’s rules and specified conditions.

The FCC specifically approved indirect holdings above 5% for:

  • Saudi Arabia’s Public Investment Fund: 15.1%
  • UAE entities associated with L’imad: 12.8%
  • Qatar’s QIA TMT Holding / Qatar Investment Authority: 10.6%

From the ruling:

“we find that the public interest would be served by permitting indirect foreign equity ownership of Paramount … to exceed the 25% benchmark”

The FCC further found it in the public interest to permit “up to 100% indirect foreign equity interest of Paramount, in the aggregate,” subject to applicable rules, commitments, and conditions.

@d3 The amount of money invested into Paramount is definitely about control, especially since daddy Ellison is bent over a barrel without it. It isn't charity.

@a1 Ownership and Voting Rights/Control is not the same. I "own" some (embarrassingly little) of Paramount via stocks, I don't get any say in how it's run even if I owned 100% of the Class B stocks (PSKY). As long as other entities don't own more than 50% of Class A Stocks (which isn't a tradeable stock anyways since it's not listed), they can't do much. And do we really think Ellison would do all this just to hand over control to someone else? I hardly think that fits his MO.

Ugh. Have you read that a deal with Bonta may come as soon as this weekend? I’m ready for them to make a deal already. Then we can start the clock on when we think layoffs will happen.

This document appears to indicate that nearly 90% of Paramount could be owned by entities tied to Middle Eastern states, including Saudi Arabia, the UAE, and Qatar.

FCC Chairman Brendan Carr: “We also find that it is in the public interest to permit up to 100% indirect foreign equity interest of Paramount.”
