My question is if I don’t take the offer, can I still get medical benefits as retiree (I’m within 2 years of Modified rule) they mentioned MTP rule... my whole group is now Accenture.

Simple answer. Yes.
You can use you retiree benefits whenever you need with a “life event” (change of job, loss of coverage ect).
I just went thur this myself with the TechDev ABS IBM move, I was 18 months short of R75.
You will retire AT&T if you are <2 years from Rule75. I’m betting your deal is much like the IBM deal.
Ask during your next ATT HR call. Your HRG can confirm it in writing via email. Call Fidelity Net Benefits (ask for AON Group) to get estimate cost of Med benefits. Will take them 2-3 days to research.
You will get 11/12 prorated annual bonus in Mar2020 regardless if you goto Accenture or not.
You don’t HAVE to take Accenture deal to get ATT retiree benefits. I would still strongly recommend you take the deal and take one pay check before leaving. Might help close the legal loopholes on both ends.
The only benefit they're offering to rebadged employees who are MTP (within 2 years of MR75) and don't take Accenture offer is that you get retiree rates on health insurance and some concession on services. No severance at all.
I would say the answer is no. MTP is for folks being severed, either involuntarily or via MVO. Being rebadged is not being severed. You still have a job, its just moving to the new company who promises to keep you at your current salary and benefits for one year. After the year you revert to the new company's salary and benefits. If you get laid off from the new company in the first year you get your ATT severance and after that the new company's. Being rebadged is the worse of both worlds. If it happens to me I will consider it as getting a 12 month notice of layoff and for those 12 months I will mostly work at finding another job.
Now that would depend on what your benefit is for retiree medical, all based on who hired you initially, and if that option is being offered as part of the outsourcing agreement.

Even though the whole company is a joke at this point HR has been a joke for 10-15 years. Non stop referrals to their ambiguous 150 page books for your answers. They must have been trained and mentored by billing and customer service.

I feel for all of you in this situation and I love when some dummy suggest that you "ask HR".
What HR? You make it sound as if there are HR personnel in every market in the country standing by to assist you. That hasn't been the case for many years. I guess "Ask HR" means to go to the HR OneStop website and try and comb through that repository of c-ap to find your answer, and when you inevitably do not, send a form email to someone asking the question...and in the unlikely event that you get an answer, it will likely be incorrect, or even more likely be something that has nothing to do with the question you asked.

Is all HR outsourced? Every time I have had a question or had to interact with these folks they were clueless and have to go find documentation and look something up. I have received incorrect and wrong information and also they are not friendly....I am kind of glad to hear they are outsourced as I did not want to believe the company employed the quality of reps I interfaced with.

With regard to surplus, MTP allows someone within 2 years of MR75 to forfeit 50% of their severance to "purchase" the additional 2 years of service. You will be taxed on 100% of the severance.

If there is a cost associated with it, make sure you know what health benefits you are eligible for, it is not the same for everyone.

Rules are so messed up and the HR rep has no clear answer. I was just checking to see if someone else went thru the same situation. They talk about lay-off and not rebadging.
Why don't you ask HR or go to one stop and read the rules vs asking anonymous strangers.
