Layoffs can be done "the right way", which is transparent, large, one-time corrections. You cut the diseased limb off and order the prosthetic. Unfortunately, the Qualcomm way is to cut off a couple toes or maybe the entire foot when it needed to come off at the knee.. That leaves the right thumb and other big toe wondering if they are next. The overhang of constant layoffs has a negative effect across the entire company as good people leave or spend time worrying about their future instead of inventing the next great thing.

The best companies out there understand that shareholder value is best achieved in the long run when employees are happy and productive. It just makes sense. The short-term looking companies are always concerned about costs and churning out today's widgets even if it means working their people to death.

Publicly traded companies do what’s best for shareholders, not employees. They are actually legally required to act in the best interests of the shareholders - it’s called fiduciary duty.

The market prices all FUTURE earnings out to infinity to the PRESENT value. If the FUTURE outlook improves, the PRESENT value goes up.

Qualcomm+NXP provides immediate EPS increases. The stock should trade much higher on that alone. You are taking their stock off the market, yet you expect none of that to come back into the QCOM share price? Remember, Qualcomm already took on the debt to buy this. Qualcomm already took its investments out to "cash", hurting investment income. This is priced into the stock right now. When NXP is part of Qualcomm, it will be entirely net positive.

If QCOM acquires NXP, then it can increase operating margin by getting rid of redundancies and some fixed costs to achieve greater scale (google ‘economy of scale’). QCOM also gets a sales channel to sell its products into that it never had before.

So, yes, some M&A can make 1+1=3.

Why did QCOM stock pop when they first announced the intent to buy NXP?
