Another lump of coal in 3Ms Xmas stocking

The "honorable" Casey Rodgers has just slammed 3M again in court, this time preventing it from shifting blame to aearo (again).

Bankruptcy of the mother ship can't be to far away now. If 3M loses its hail mary in appeals court, you will wish you took the lump sum pension before end of November.

How many innocent employees will be bounced this time? Probably worse than August. Expect mike to get his golden parachute before Bankruptcy happens so he can move to Florida and get out of this dreadful winter weather in maplewood.

Thursday, Dec 22 - In a separate ruling, Judge Rodgers on jurisdictional grounds dismissed a lawsuit by two veterans seeking to block 3M's planned spinoff of its healthcare business, which they called an illegal attempt to avoid compensating veterans.

Competent management would be doing three things right now:

  1. Accelerating the HC business spin without burdening it with liabilities left over from PFAS, ear plugs, etc.
  1. Preparing maybe another spin or two, since the illogical decision to exit PFAS without knowing how much these chemicals are used elsewhere to support businesses AND having a well-defined plan for replacements is going to hurt the company.
  1. Play hardball chicken game both with the ear plug attorneys and PFAS impacted communities. Bankruptcy must be clearly brought to the table. If you own 3M shares and are looking for a miracle, don't. Sell while you can. Even at a huge loss. A reorganized 3M, broken into several pieces post bankruptcy, has a chance. Future pensioners should be prepared to work 5 more years to make up for the huge gap that will happen when your pension is sent to PBGC. And 3M retiree medical is not protected by law to some extent like pensions. You'll need to work until 65 to get Medicare.

Aearo was Buckleys bo--r. Paid 1.2 billion in 2007. 3M probably didn't make that much over the years to pay the bills coming due. This is why organic growth at 3M, which Desi pitched so strongly, is so critical to the future. You never know what skeletons in the closet you will be buying. Dyneon and PFAS are another example. Problem is organic growth has been in the cr----r for 20 years, except the HC business.
