Majority Voting

As set forth in the Company’s Bylaws, other than in a Contested Election (as

defined in the Company’s Bylaws), any incumbent nominee for director who

receives a greater number of "withhold" votes (but ignoring abstentions and

broker non-votes) than votes "for" his or her election shall promptly tender his or

her resignation from the Board of Directors and all committees thereof. As set

forth in the Bylaws, the Governance Committee shall assess the appropriateness

of such nominee continuing to serve as a Board member and shall recommend to

the Board the action to be taken with respect such tendered resignation
