Anadarko (APC) evaluating bid for Noble

Senior management from Noble met twice with their counterparts at Anadarko in the past few days regarding a possible acquisition of NBL by APC, according to sources at both companies. It is not known who initiated the contacts, but sources say the topic is the acquisition of Noble by Anadarko.

The companies have long been familiar with each other's portfolios and assets, and had completed a major acreage swap in the DJ Basin in Colorado in recent years.

It appears to most observers that NBL has been cleaning up its portfolio in recent years in anticipation of a sale of the company, most recently with the divestiture of assets in the Pennsylvania/West Virginia area.

The acquisition would be positive to APC's domestic position, while putting them into an emerging market in the eastern Mediterranean. Noble, on the other hand, is suffering in the aftermath of the departure of Chuck Davidson, its retired CEO, and maybe looking to turn things over to new leadership.

While many Noble employees "in the know" about these discussions are concerned about what would happen to them in the event of a corporate takeover, especially one initiated by their own management, it might actually be a good thing. Anadarko has treated its own employees, as well as those of companies that it acquired, far more reasonably than Noble has done for its own employees in recent downsizing events.

Given the choices of either working for Anadarko, or being being part of an Anadarko layoff, both sound preferable to the current situation.

Asaf Bartfeld, the head of Delek Group, is not keen on having Anadarko as a partner in the the eastern med projects. He may attempt to block the sale, or leverage the transaction so that Delek acquires Noble's interest at Leviathan.

Hah! What a joke! Anadarko buying Noble would be like throwing a drowning man a rock, send em straight to the bottom. There's absolutely no value here. Still it would be sweet. Noble field hands MIGHT survive, but Just about everyone else would be toast. After the blood bath, and it would be a blood bath, Anadarko would move the few lucky (?) survivors over to The Woodlands and sell off the Noble basketball court et al. As for severance don't count on much. The Anadarko people have been quite vocal about how bad their severance packages have been. Good luck with this one.

This is no rumor. It is happening. I work near a conference room where a few preliminary discussions were held a few weeks ago. I think most of us should prepare for ourselves in mind, spirit and CV.

If you work in Denver or Canonsburg, what difference does this make? You were already hosed, tattooed, abused, and shat upon by Noble. Do you really think Anadarko is going to undo any of that? Yes, Anadarko will run the assets better, but unless you've applied to work for them, it's a bit irrelevant.

Now Noble's Houston office. There is where fear is now thick. It won't take Anadarko long to figure out who ruined Samedan.

Your stock price goes up. You have a great chance of working for Anadarko, a company most employees love.

Yes, these discussions are real. Don't mess them up by talking too much. It's not a done deal yet.

Well, if there is a BP angle to any of this, you don't have to have to dig very hard to see the connection.

Back in the late 1990s, BP acquired Amoco and ARCO, to essentially establish a north American enitity (It already had bought Sun Oil Company) a few years earlier.

ARCO management did one of two things: move over to BP and provide the expertise for domestic operations for BP,

or

Jump with Chuck Davidson, the brains of ARCO, to an old and tired company, Samedan. That company, renamed Noble Energy, took off to ride the next dozen years under Davidson's brilliant management. Chuck is gone, but the senior management is littered with ARCO veterans like Dave Stover, Gary Willingham, Terry Gerhart, and others.

Others, like Donnie Moore, were recruited from BP to join Noble at a later date.

It's all a giant fraternity.

So, now that Chuck Davidson left Noble (to purchase Noble's Marcellus assets at a huge discount for his new company), will the rest of the ARCO gang at BP feast at the corpse of Noble, too?

I'm not sure, but there's some good eatin' there. Anadarko and BP should bring forks and napkins.

Deutsche Bank is exploring an option where APC acquires NBL, but spins off the Eastern Med operations at the same time to finance the acquisition.

I'm not sure yet who hired Deutsche Bank -- might have been APC.

BP has plenty of assets in the Rockies! The San Juan Basin, Greater Green River, both huge gas assets with potential for horizontal oil production. It's true they do not have a position in the DJ Basin. It's not likely they want Noble's DJ position. The Anadarko thing makes much more sense.

Noble has a Market Cap of around $13 billion. Anadarko would need to pay a premium above and beyond that in order to get the deal done. Probably at least 25%. That's a lot of cheese.

I seriously doubt that Anadarko could swallow all of Noble. They have their own balance sheet issues. Anadarko could possibly be interested in Noble's DJ Basin assets. Anadarko has been much more successful in the DJ than Noble... who by most accounts has never made a profit in the DJ. Secondly it's common knowledge that Noble is weary of the politics in Colorado and perhaps ready to move on. Noble needs to do something before they sink into the abyss.

Employees and stockholders have never been considered in any decision Davison or Stover ever made. Nothing new here. Just more plunder and pillaging for the sole benefit of the marauding generals. Noble is history and current employees aren't considered worth having especially those close to the top. Old guys will be paid off or maybe not and shown the door. Middle managers are doomed, especially if they are over 40. Canonsburg is lucky to be getting out now. Later will nog be so good.

BP is opening an office in Denver, but holds no assets there (yet)!

Meantime, rumor has it that NBL has a data room open?!

As the MBU learned-much too late-there is no honor (or honesty) among Houston Execs.

That said Execs are pursuing chopping up and planning the future sale of more assets can be seen in the modified Executive Severance Plan rewritten last December.

I'm not sure what to think of this. Anadarko is in trouble with DJ problems regarding the explosion, but Noble is on the ropes because of collateral damage there.

The smartest thing would be for Anadarko to take us out now. We are like the US Fitzgerald, the Navy destroyer run over in the night. There are no grownups in charge to save us.
