By contesting and extending the process the leadership continue to draw salaries and can also favorably time their stock sales in the interim. Why focus on running the company when there is more money to be had ?
BHI became HAL's bitch when the deal was announced. MC isn't going to walk awa from $19/share in preference to some day getting $8/share (maybe, someday) and most importantly his $28 MM. HAL claims their compelling case is the deal is good for customers. The flaw in that argument is Total, Chevron and others have publicly said it would be bad for them. How is HAL going to prevail against DOJ with that reality? Answer: they ain't!
