and he couldn't have executed the tax cover sale just ten days later when the blackout ended after the bad earnings he was going to announce? It doesn't have to happen the moment the RSUs vest. He can vest the shares and sell the amount he needs to cover taxes just ten days later.

So much misinformation on this site that I couldn’t withstand the stupidity any longer. Here’s the truth of the stock sale… it was to fulfill his tax obligation exactly what the rest of people who receive RSUs do. Focus on reality, not the hype coming from random people on the internet.

It's not as clean as just tax cover sale. pulling the barchart data into excel and calc comparing against the start/end blackout dates for the past 3 years is interesting

  • the majority of sales are done cleanly outside of a blackout window, all good
  • a lot of sales are done on the start day or end day of a blackout, since that timing is repeatedly precise I attribute that to the sale order happening just right before yet getting recorded on the day after, not a big deal
  • Craig Miller is on an automatic monthly sale pattern, he explained that in an all hands once so some of his automatic sales will fall inside a blackout but out of his control, not of interest
  • it's the Guru sale that actually stands out as the single outlier in that it lands well inside a blackout window by a whole 10 days. that's a mile in this business and particularly colored by being ahead of a poor earnings release.

When the RSUs vest a number of shares are sold to cover taxes. He got about a million dollars worth of RSUs in year 1. The sale was likely for taxes. He's still stuck with $500k of vsat stock.

I wouldn't be surprised if they use the focal review going on as a source for who to get rid of next. The new management chains will get to see who's overpaid or underpaid and adjust accordingly. Good luck to all the Viasat employees with numerous years under their belt, the average Inmarsat employee gets paid peanuts compared to you for doing the same job (half assed).

Layoffs are a coming. Multiple reliable sources are starting to chatter. Costs are too high and legacy ViaSat has too many people, bloated with average performers. Time to clean house.

I sat through a lot of required viasat ethics trainings where trading activity was covered and clearly cautioned with material non-public info. this is an unforced error on his part and will be a problem. at least I can now point to this as a reason I don't have to sit through that stuff ever again. it's like all the exec talk of accountability etc, some strong what's-good-for-thee-not-for-me energy here.

After the VS3 failure last July, I attended the meeting where Dankberg and Guru addressed the situation. Of course, things didn't look good for VSAT stock. BUT, Guru said to focus on our jobs and to not look at the price of the stock.

Forward to the present and Guru selling shares. Guru has obviously been watching the price of VSAT...SMH.

and during the quarterly blackout period, and only a few days before the blackout window lifted so it's not like a tax cover sale explains this, and while he had material information about the upcoming earnings release.
