What's going on is that when Eddie bought Old Sears out of bankruptcy, he also bought all of the accumulated operational losses that Old Sears had accrued.

He can use those operational losses to offset any profits from any current or future activities that he conducts. Which will allow him to dodge paying taxes on those profits.

But he needs to keep up a sham operation, that Old Sears is still operational, or else those loss tax deductions will expire.

So this is all a relatively inexpensive (by Eddie's standards) sham to preserve tax deductions against any future profits on his other activities.

Sears just needs to close the rest of its stores. No one will notice or care. They should have went out of business a long time ago. Eddie is afraid to admit he failed.
