Will Dell/Silver Lake pay taxes on the acquisition?

My money is on NO as the answer to that question. But how? Maybe they get their buyout as all shares, thereby sidestepping the whole issue.

There will be a way, those guys never pay taxes, they always financially engineer a result that benefits them and them alone, being the major stockholders.

I do fear that this 50/50 cash/avgo-stick split is a myth that only applies to mere mortals.

It's you that needs to read it. There are plenty of worked examples that show what shareholders will get.

If you chose 100% cash, you would get it. If you chose 100% shares and for some reason enough people elect cash, you would get 100% shares

The company that built the form, not VMware or BC, can't make assumptions about how shareholders make elections.

You misunderstand how these things work. If you chose 100% cash, you would get it. If you chose 100% shares and for some reason enough people elect cash, you would get 100% shares. The company that built the form, not VMware or BC, can't make assumptions about how shareholders make elections.

Just because the options are obvious on what to do in this situation, doesn't mean it's like that for every acquisition. If the 2 prices were similar to what they were at the date of the announcement, elections would be more varied.

This is why I sold all my shares. I don’t trust that the 50:50 will apply to everyone. Then again, would BC really want MD to have such a large amount of their shares?
