WD|Kioxia Merger History of RR and WDC merger in 2003

https://www.forbes.com/sites/tomcoughlin/2023/07/18/wdckioxia-and-nand-flash-industry-consolidation/

It’s crazy WD bought Read Rite after they filed bankruptcy. RR had already had a 8 inch wafer fab.

Hitachi and Seagate together tried to buy RR and make sure that they shut it down; but the judge saw through what the two companies were trying to do.

You can look this up it is public record.

The judge decided to hold a old fashion bid for the company and WD WON!

The merger was great for both companies; all teams worked together and were dedicated to making the company strong and profitable.

The problems with this company started when the Chinese allowed the company to finally merge together with Hitachi.

In my many years of being in high tech, very seldom do mergers work; for many reasons and the number one reason is egos.

Just my humble observation.

WD will survive better without HGST. The customers don't like duoplay. Before the merge of WDC-HGST, wdc has very low market share in enterprise but there were the increasing sales from big customers in those days.

In the past decade, there is no much advance on HDD technology and the cheap vendor is absolutely the winner.

WD didn’t merge with read rite. They bought a failed company and resurrected it.

It was a major move in the effort to become a vertically integrated HDD manufacturer. Without it WD would be gone by now. A company can’t survive while buying components anymore.

HGST and Seagate wanted the equipment. Not the company. HGST had two wafer fabs already.

Had WD not bought HGST it’s very possible one of the companies would have gone bankrupt. The competition for market share was causing huge losses. The WD/Seagate duopoly allowed for price stability.

Considering WD’s technology and their reliance on cheap desktops, I suspect they would have died. The laptop and server products brought profits. Even with legacy HGST’s help, Fremont (legacy Read Rite) has struggled with technology.

I really doubt WD would exist today without the HGST purchase. (And I chose purchase rather than merger on purpose. )

we know most mergers fail to fulfill their potential and erode, rather than generate, shareholder value

I been in the industry 15 years. I never saw a single merge working. In every case lots of employees were fired.
