Thread regarding Medtronic Inc. layoffs

Why is the CEO role and the Chairman of the Board role occupied by the same person?

Doesn’t make much sense from a business perspective. So GM supervises himself and evaluates his own performance? What could go wrong? Oh, yeah, the state of Medtronic today.

The Board should have fired GM when he kept allowing bulk sales at the end of every single quarter AFTER he said he wasn't going to allow that again. Customers just know to wait to buy anything until quarter end so they can get a huge discount.

This is very common practice for CEO to also be chairman. The chairman does not have ability to overrule the rest of the board.
