CEO Compensation Attainment 2020-22: How is he still employed?

According to page 65 of the proxy report 3M just published, the amount of total compensation MR has realized based to his annual performance for the past 3 years is:
2020 53%
2021 56%
2022 34%
Average for the 3 years is 47%

Someone correct me if I’m reading this incorrectly, but if I had a 3 year job performance record that resulted in a payout average of only 47% of the total compensation package assigned to me, I’d be out of a job FAST. How does the Board justify this? Can you put a CEO on corrective action?

Mike Roman is the CEO version of Kirk Cousins. Way over paid and can’t achieve victory against superior competition.

An average small mid level org ceo would do a better job than the present ceo. Should be ashamed of his legacy. Five years and he only depresses the organisation, every day he is in. Dont think any one can turn the wreck of neglect and poor decision making. Least he could do is to exit immediately.

I wrote the board and applied for CEO. I told the them I'd do the gig for 25% of Roman's pay. I'd be able to retire in 2 years and save the shareholders some money.

Vale has been taking shares the last few years buy and sell, a fortune he has made but maybe not this year although he will hold off until november and cash in as will all the spinco newbies

Mike gave himself a Goldilocks raise - not too low and not too high, just right!

Nevertheless, even one year of a Goldilocks raise is more than 1 year salary for 85% of employees.

Roman's annual increase last year was 5.6%, how many 'does not meet' 3Mers got a 5.6% increase last year?

Monish's was over 9% - the board should be embarrassed by that.

Vale +12% - are you f___ing kidding me?!?

Same as always, they live in a charmed little world. In a just world they would all be unemployed and a couple of the would be in jail.

That being said, his only option was to 360 feedback review himself. He mostly spent several days agonizing over it, and wound up giving himself a fair rating.
