Don't have to stay to get it, my recent offers at nVidia match your outstanding RSUs (retention included) when you sign on.
I'd also add - understand the terms of your retention bonus. If you have to work another 12 months from now to get it, understand that you get 0 if they lay you off or you quit. It may not be as good a deal as you think...
If you can get an offer from nVidia, get out.
How much is it and how long do you need to agree to stay? Chances are it isn't worth it.
If you have an offer from Nvidia you would be a fool to try and negotiate it higher.
Are you even real?
Nvidia laughs at your retention peanuts.
Intel compensation is laughably low.
